1. Acceptance of Terms

By accessing or using SherpaQuant.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and SherpaQuant.ai. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

You must be at least 18 years of age to create an account or use the Service. To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share them with third parties
• Promptly notify us of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or remain inactive for extended periods. Account termination does not relieve you of any obligations incurred prior to termination.

4. Permitted Use

You may use the Service for personal, non-commercial purposes in accordance with these Terms. You agree not to:

• Reproduce, redistribute, or resell any content, data, or analysis from the Service without prior written consent
• Use the Service to develop competing products or services
• Use automated tools, bots, or scrapers to access or extract data from the Service beyond what is permitted by our API terms
• Attempt to gain unauthorized access to any systems, networks, or data associated with the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any unlawful purpose or in violation of applicable laws and regulations
• Misrepresent your affiliation with any person or entity

5. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the AI ALPHA scoring methodology, AI models, user interface design, algorithms, text, graphics, logos, and software — are owned by SherpaQuant.ai or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

Your use of the Service does not grant you ownership of or any intellectual property rights in any content or materials. You may not copy, modify, distribute, sell, or lease any part of our Service or included content without explicit written permission.

6. Data Accuracy and Availability

While we strive to provide accurate and timely data, we make no warranties or guarantees regarding the accuracy, completeness, reliability, or timeliness of any information provided through the Service. Market data, financial metrics, and analytical outputs may be delayed, incomplete, or contain errors.

• Real-time data may experience delays of up to 15 minutes depending on the data source
• Historical data may be adjusted or restated without notice
• Calculated metrics (AI ALPHA scores, valuations, etc.) are based on models that may not reflect current market conditions
• The Service may experience downtime for maintenance, upgrades, or unforeseen issues

We are not liable for any losses, damages, or decisions made based on data provided through the Service.

To the fullest extent permitted by applicable law, SherpaQuant.ai and its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any investment losses or financial decisions made in reliance on the Service
• Any interruption, suspension, or termination of the Service
• Any unauthorized access to or alteration of your data
• Any errors, inaccuracies, or omissions in content provided through the Service

In no event shall our total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you in full.

9. Indemnification

You agree to indemnify, defend, and hold harmless SherpaQuant.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any investment decisions or financial actions you take based on information from the Service

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Swiss Chambers' Arbitration Institution, with the arbitration conducted in Zurich, Switzerland. The language of arbitration shall be English.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

11. Subscriptions, Billing, and Refunds

SherpaQuant.ai offers both a free tier and paid subscription plans. The current plans, features, and prices are listed on our pricing page and may be updated from time to time.

• Free trial: paid plans may include a free trial. You will not be charged if you cancel before the trial period ends.
• Billing cycle: paid subscriptions are billed in advance on a recurring monthly or annual basis through our payment processor. Annual plans may be offered at a discount.
• Cancellation: you may cancel at any time through your account or the customer billing portal. Access to paid features continues until the end of the current billing period.
• Refunds: fees already paid are non-refundable for partial billing periods, except where a refund is required by applicable law.
• Price changes:we may change subscription prices with at least 30 days' advance notice. Changes take effect at your next renewal; you may cancel before the change takes effect if you do not agree to it.

12. Data Export and Account Closure

If your account is suspended, terminated, or closed, you may request an export of the portfolio, watchlist, and preference data you entered into the Service within 30 days of closure. After 30 days, we may delete that data in accordance with the retention practices described in our Privacy Policy.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
